Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern the use of the TaxWize platform, website, applications, and services (collectively, the "Service"). The Service is operated by Szilárd Szakács, trading as Szakács Solutions, a registered sole proprietorship (Swiss UID: CHE-289.567.114) domiciled in Eggenwil, Canton Aargau, Switzerland (hereinafter, "TaxWize", "we", "us", or "our").

By accessing, registering for, or using the Service, you agree to be bound by these Terms. If you do not accept these Terms in their entirety, you must not use the Service. Your continued use of the Service constitutes your acceptance of these Terms and any modifications thereto.

2. Definitions

  1. "Account" means the user profile created when you register for the Service.
  2. "Computation" means the tax calculation and analysis performed by the Service based on your uploaded documents and responses.
  3. "Declaration" means a single tax-year filing that you prepare using the Service (e.g., your 2025 tax declaration).
  4. "Content" means any documents, data, files, or information you upload, submit, or generate through the Service.
  5. "Output" means all tax reports, summaries, insights, deductions, and other information generated by the Service.
  6. "Personal Data" has the meaning given in the Privacy Policy at taxwize.ch/privacy.
  7. "Subscriber" or "you" means any individual who creates an Account and uses the Service.

3. The Service

The Service is a web-based tax preparation assistant designed to help Swiss individuals and families prepare for tax filing through official cantonal tax portals. The Service:

  1. Accepts upload of tax-related documents (payroll statements, bank statements, insurance policies, receipts, and similar documents);
  2. Uses artificial intelligence and automated extraction to identify, organize, and structure financial information from those documents;
  3. Engages in guided Q&A to clarify your tax situation and household composition;
  4. Performs tax calculations based on applicable Swiss cantonal tax rules;
  5. Provides output including a tax computation summary, deduction suggestions, and informational insights; and
  6. Does NOT prepare, file, or submit tax declarations on your behalf. You remain responsible for filing through the official cantonal portal.

The Service is provided on an "as-is" and "as-available" basis. TaxWize does not guarantee uninterrupted, timely, or error-free access to the Service. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond TaxWize's reasonable control.

IMPORTANT: TaxWize does not guarantee the availability of the Service at any particular time, including but not limited to periods immediately preceding cantonal or federal tax filing deadlines. You are solely responsible for completing your tax preparation and filing with sufficient time before any applicable deadline. TaxWize shall not be liable for any penalties, interest, late-filing surcharges, or other consequences arising from your inability to access the Service at any time, for any reason.

TaxWize strongly recommends that you do not rely on last-minute access to the Service and that you maintain copies of your tax documents independently of the Service. Features, jurisdictions served, tax rules supported, and document types accepted may change at any time at TaxWize's discretion.

4. Account Registration

To use the Service, you must be at least 16 years of age and have the legal capacity to enter into contracts. You agree to provide accurate, current, and complete information when registering for an Account. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your Account.

You agree to notify TaxWize immediately of any unauthorized access or breach of your Account. TaxWize is not responsible for any loss or damage arising from your failure to protect your credentials.

TaxWize reserves the right to refuse registration or suspend your Account at any time, with or without cause.

5. Subscription and Payment

  1. Price: CHF 39.00 per Declaration per calendar tax year.
  2. Scope: One payment grants unlimited edits, recalculations, and revisions for a single Declaration in a single tax year. To prepare a Declaration for a different tax year, a separate payment is required.
  3. Payment Processing: Payments are processed by Stripe (stripe.com). TaxWize does not store, transmit, or retain credit card or other sensitive payment card data. Stripe's terms and privacy policy govern payment processing.
  4. Refund Policy: The Service is a digital service. By initiating a Computation (clicking the button to generate your tax report), you expressly acknowledge that the Service has been fully performed and that you waive any right of withdrawal with respect to that Computation. If you have paid but have NOT yet initiated a Computation, you may request a refund by emailing privacy@taxwize.ch within fourteen (14) calendar days of payment. TaxWize will process the refund within fourteen (14) business days. Once a Computation has been initiated and an Output (tax report) has been generated, the payment is non-refundable. TaxWize reserves the right, at its sole discretion, to issue goodwill refunds in exceptional circumstances.
  5. Payment Terms: Payment must be made in full at the time you request Computation. The Service will not generate a tax report until payment is received and confirmed.

All amounts are stated in Swiss francs. If you are located outside Switzerland, your payment method provider may apply additional currency conversion or transaction fees. Taxes, if any, are your responsibility.

6. User Responsibilities

You agree to:

  1. Provide accurate, truthful, and complete information in all Account details, responses, and submissions.
  2. Review all Output before relying on or filing it, and verify its accuracy and completeness.
  3. Upload only documents that you own or have legal authorization to upload, and ensure you hold any necessary rights to provide them to TaxWize.
  4. Comply with all applicable Swiss tax, legal, and regulatory requirements in your use of the Service.
  5. File your tax declaration through the official cantonal tax portal and take sole responsibility for the accuracy, completeness, and timeliness of your filing.
  6. Maintain the confidentiality of your Account and notify TaxWize immediately of any suspected breach.

TaxWize does not verify the accuracy of information you provide and is not responsible for any errors, omissions, or false statements in your submissions.

7. Acceptable Use

You agree not to:

  1. Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying logic of the Service.
  2. Use automated tools (bots, scrapers, crawlers) to extract data from or probe the Service without written permission.
  3. Access, use, or exploit the Service for purposes that compete with TaxWize or to build a competing product.
  4. Upload malware, viruses, harmful code, or files designed to disrupt or damage the Service or its systems.
  5. Impersonate any person or entity, or misrepresent your identity or affiliation.
  6. Use the Service for illegal purposes, including tax evasion, fraud, or circumvention of tax obligations.
  7. Transmit hateful, defamatory, obscene, or threatening content.
  8. Violate the privacy, intellectual property, or other legal rights of any person or entity.

Violation of this Section may result in immediate suspension or termination of your Account and potential legal action.

8. Intellectual Property

TaxWize and its licensors own all intellectual property rights in the Service, including the platform, algorithms, databases, user interface, visual design, features, and all derived analytics, insights, rule engines, and computational models ("TaxWize IP"). You acquire no ownership rights in TaxWize IP through your use of the Service.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Service solely for your personal, non-commercial tax preparation. This license does not permit you to copy, modify, sublicense, distribute, or create derivative works.

You retain ownership of all Content you upload to the Service. By uploading Content, you grant TaxWize a limited, non-exclusive, royalty-free license to process, analyse, store, and use your Content solely for: (a) providing the Service to you, including document extraction, tax computation, and report generation; and (b) improving the Service through anonymised, aggregated statistical analysis that does not identify you or any individual. This license is: (i) limited to the territory of Switzerland and the European Economic Area (to the extent required by our subprocessors); (ii) revocable upon deletion of your Account or the relevant Content; and (iii) subject to your rights under applicable data protection law, including the revFADP. TaxWize does not use your Content to train artificial intelligence or machine learning models.

9. User Content and Data

You are solely responsible for the Content you upload and the accuracy and legality thereof. You represent and warrant that:

  1. You own or have the legal right to upload and provide all Content.
  2. Your Content does not infringe the intellectual property or privacy rights of any third party.
  3. Your Content is not false, misleading, or submitted for fraudulent purposes.

TaxWize may, at its discretion, delete, quarantine, or restrict access to Content that violates these Terms or applicable law. TaxWize is not obligated to monitor, edit, or verify the accuracy of Content.

Upon account termination or deletion, TaxWize will retain your Content for 30 days to allow recovery, after which it will be permanently deleted. You may request deletion of a specific Declaration at any time via privacy@taxwize.ch, and TaxWize will comply within 30 days.

10. AI-Assisted Processing

The Service uses artificial intelligence, machine learning, and automated processing to extract data from your documents and generate insights. You acknowledge that:

  1. AI-assisted extraction may contain errors, omissions, or inaccuracies, particularly for unusual document formats, handwritten content, or complex layouts.
  2. You must review all extracted data and Output carefully and correct any errors before relying on or filing your declaration.
  3. The Service does not guarantee that extraction will identify all relevant information or that all deductions will be surfaced.
  4. You alone are responsible for verifying the accuracy and completeness of all Output.

TaxWize makes no warranty regarding the correctness of any AI-generated output or insight.

11. No Tax Advice Disclaimer

IMPORTANT NOTICE: The Service is a software tool for tax preparation assistance (Steuererklärungshilfe). It is not professional tax advice (Steuerberatung), legal advice, fiduciary services (Treuhanddienstleistung), or financial advice.

TaxWize is not a tax advisor (Steuerberater), fiduciary (Treuhänder), certified accountant, lawyer, or financial advisor, nor is it subject to the oversight of any professional body such as EXPERTsuisse or TREUHAND|SUISSE.

All Output, including tax computation summaries, deduction suggestions, and informational insights, is generated by automated software algorithms based solely on the documents you upload and the information you provide. Such Output is informational only and does not constitute a professional opinion, a recommendation to claim any specific deduction, or an assessment of your individual tax situation. Language such as "worth checking", "may be relevant", or "based on the uploaded documents" indicates that independent verification by you or a qualified professional is required.

Specifically:

  1. All Output is based solely on documents you upload and answers you provide. It may be incomplete, incorrect, or based on incomplete information.
  2. The Service does not assess your individual tax situation comprehensively, does not account for all applicable laws, and does not provide personalized tax planning.
  3. TaxWize does not guarantee the optimality, completeness, or correctness of any calculation, deduction, or tax filing outcome.

You remain solely responsible for the accuracy and completeness of your tax declaration as filed with the competent cantonal tax authority (kantonales Steueramt). If you are uncertain about any aspect of your tax situation, you should consult with a qualified tax advisor, certified accountant, or lawyer licensed in Switzerland. TaxWize is a preparation tool, not a substitute for professional tax advice.

12. Disclaimers and Limitation of Liability

Disclaimer of Warranties

The Service is provided "AS-IS" and "AS-AVAILABLE", without any warranty of any kind, express or implied. TaxWize disclaims all warranties, including:

  1. Merchantability, fitness for a particular purpose, or non-infringement.
  2. Accuracy, completeness, correctness, or reliability of any Output, calculation, or insight.
  3. That the Service will be uninterrupted, error-free, or free from viruses or harmful components.
  4. That any errors will be corrected or that defects will be remedied.

Limitation of Liability

To the maximum extent permitted by mandatory Swiss law, TaxWize shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, lost profits, lost revenue, lost data, tax penalties, interest, fines, or business interruption), whether arising in contract, tort, negligence, strict liability, or otherwise, even if TaxWize has been advised of the possibility of such damages.

Subject to paragraph (c) below, the aggregate liability of TaxWize for all claims arising under or related to these Terms or the use of the Service shall not exceed the total amount paid by you to TaxWize in the twelve (12) months immediately preceding the event giving rise to the claim, or CHF 39.00, whichever is greater.

Nothing in these Terms shall exclude or limit the liability of TaxWize for: (i) death or personal injury caused by TaxWize's negligence; (ii) fraud or fraudulent misrepresentation by TaxWize; or (iii) any liability that cannot be excluded or limited under mandatory provisions of Swiss law, including liability for intentional misconduct (Vorsatz) and gross negligence (grobe Fahrlässigkeit) pursuant to Art. 100 para. 1 of the Swiss Code of Obligations.

You acknowledge that the Service fee reflects the allocation of risk set forth in this Section 12 and that TaxWize would not provide the Service at the stated price without these limitations.

13. Indemnification

To the extent permitted by mandatory Swiss law, you agree to indemnify and hold harmless TaxWize and its officers, employees, and agents from and against any third-party claims, damages, and reasonable costs (including reasonable attorneys' fees) directly arising from:

  1. Your material breach of these Terms.
  2. Your wilful uploading of Content that infringes the intellectual property or privacy rights of a third party.
  3. Your use of the Service for illegal purposes, including tax evasion or fraud.

This indemnification obligation shall not apply to the extent that TaxWize's own negligence or misconduct contributed to the claim. Your aggregate indemnification obligation under this Section shall not exceed CHF 5,000 in any twelve-month period.

14. Suspension and Termination

  1. Right to Suspend: TaxWize may immediately suspend your Account if you breach these Terms, are suspected of fraud, or engage in illegal activity. Suspension is at TaxWize's sole discretion.
  2. Right to Terminate: TaxWize may terminate your Account and your right to use the Service at any time, for any reason or no reason, with or without cause, by providing you with 30 days' written notice to the email address associated with your Account.
  3. Termination by You: You may terminate your Account at any time by deleting your Account through the Service settings or by contacting privacy@taxwize.ch. Once deleted, you will not have access to historical Declarations or data.
  4. Data Retention Upon Termination: Upon termination of your Account (whether by you or by TaxWize), your Content and Personal Data will be retained for thirty (30) calendar days to allow you to download or recover your data ("Recovery Period"). After the Recovery Period, all Content and Personal Data will be permanently deleted from production systems. Data in automated backup systems will be purged within an additional thirty (30) calendar days during regular backup maintenance cycles.
  5. Legal Retention: TaxWize may retain limited data beyond the Recovery Period only where required by mandatory Swiss law, specifically: (i) transaction records and payment data for the period required under Art. 958f of the Swiss Code of Obligations (ten years from the end of the relevant financial year); (ii) data subject to a legal hold arising from pending or threatened legal proceedings; or (iii) anonymised, aggregated data that does not constitute Personal Data. TaxWize does not retain your tax documents, extracted tax data, or Declaration content for Swiss tax record-keeping purposes. The obligation to retain tax records under Swiss tax law (Art. 126 para. 3 DBG) rests solely with you as the taxpayer.
  6. No Refund: Termination does not entitle you to a refund of any amounts paid.

Sections that by their nature should survive termination (including Intellectual Property, Limitations of Liability, Indemnification, and Governing Law) shall survive.

15. Modifications to the Service and Terms

TaxWize may modify these Terms from time to time. We will provide you with at least thirty (30) calendar days' advance notice of any material modification via email to the address associated with your Account and by prominent notice on the Service. The notice will describe the material changes and their effective date.

If you do not agree with a material modification, you may terminate your Account before the modification takes effect, and you will receive a pro-rata refund for any unused prepaid Service period. Your continued use of the Service after the effective date of the modification constitutes your acceptance of the modified Terms.

TaxWize may modify, update, or discontinue features of the Service at any time to improve functionality, comply with legal requirements, or address security concerns. We will use commercially reasonable efforts to provide advance notice of material changes to Service functionality that may affect your use of the Service. TaxWize makes no commitment to maintain specific features, support any particular canton, or support any specific tax rule indefinitely.

16. Force Majeure

TaxWize shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond TaxWize's reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions or sanctions, changes in applicable law or regulation, failure or disruption of internet or telecommunications infrastructure, cyber-attacks, distributed denial-of-service attacks, failure of third-party service providers (including cloud hosting, payment processing, and AI processing providers), power outages, or labour disputes.

During any period of force majeure, TaxWize's obligations shall be suspended to the extent affected. TaxWize shall use commercially reasonable efforts to mitigate the effects of the force majeure event and to resume performance as soon as practicable. If a force majeure event continues for more than sixty (60) days, either party may terminate the affected Service by written notice.

17. Third-Party Services

The Service may integrate with or link to third-party services, including Stripe (for payment processing). Your use of third-party services is governed by the terms and privacy policies of those providers, not by these Terms. TaxWize is not responsible for:

  1. The accuracy, completeness, or reliability of third-party services.
  2. Any loss or damage arising from your use of third-party services.
  3. Third-party links or content.

TaxWize does not endorse or assume responsibility for third-party providers or their services.

18. Data Protection

Your Personal Data is processed in accordance with the TaxWize Privacy Policy at taxwize.ch/privacy. Please review the Privacy Policy carefully. If there is a conflict between these Terms and the Privacy Policy, the Privacy Policy governs your Personal Data.

By using the Service, you consent to the processing, use, and retention of your Personal Data and Content as described in the Privacy Policy, including for the purpose of providing the Service, improving the Service, and detecting fraud or abuse.

19. Governing Law and Dispute Resolution

These Terms and your use of the Service are governed by the laws of Switzerland, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

  • Good-Faith Negotiation: Before initiating legal proceedings, you and TaxWize agree to attempt to resolve any dispute through good-faith negotiation. You must send a written notice of dispute to privacy@taxwize.ch, describing the nature of the dispute, the relief sought, and evidence supporting your claim. You and TaxWize will then have 30 days from receipt of such notice to resolve the matter through negotiation.
  • Jurisdiction and Venue: Subject to mandatory provisions of Swiss procedural law (including Art. 32 of the Swiss Code of Civil Procedure regarding consumer contracts), any dispute arising under or related to these Terms shall be submitted to the exclusive jurisdiction of the competent courts at the domicile of TaxWize in Eggenwil, Canton Aargau, Switzerland. To the extent required by Art. 32 CPC, consumers domiciled in Switzerland may also bring proceedings at their own place of domicile. Nothing in this clause shall be construed as a waiver of any mandatory jurisdictional right afforded to you under Swiss law.
  • No Class Actions: All disputes must be brought on an individual basis. You waive any right to participate in class actions, collective proceedings, or representative proceedings to the fullest extent permitted by Swiss law.

20. Severability

If any provision of these Terms is held to be invalid, unenforceable, or in conflict with applicable law by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect. If severance would materially alter the bargain between you and TaxWize, the parties shall negotiate in good faith to replace the invalid provision with a valid one that achieves the original intent.

21. Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly referenced herein, constitute the entire agreement between you and TaxWize regarding the Service and supersede all prior and contemporaneous agreements, whether written or oral. No oral statement, course of conduct, or industry practice shall modify these Terms.
